Selling a business you built, or buying one that’s already running, is one of the biggest financial decisions an owner makes. It’s also one of the most complicated: the price has to make sense, the books have to hold up, the buyer has to qualify and the money has to be there at closing. NexGen Lending brings business brokering, credit guidance, accounting and financing under one roof, so fewer things fall through the cracks between advisors.

What is business brokering?

Short answer: Business brokering is the work of connecting business sellers with qualified buyers and managing the sale from start to finish. A broker helps set realistic expectations on value, prepares the business for market, screens buyers, keeps the process confidential and coordinates the details that move a deal from handshake to closing.

A good broker protects both the deal and the business while it’s happening. Employees, customers and competitors shouldn’t learn about a sale before the owner is ready, and serious buyers need clean, organized information to make an offer they can stand behind.

What’s included in NexGen’s business brokering?

Short answer: We help sellers understand what their business may be worth, organize financials, market the opportunity discreetly, screen buyers and negotiate structure. For buyers, we help find businesses that fit, review the numbers, manage due diligence and arrange acquisition financing. Both sides get support through closing.

When NexGen works with both the buyer and the seller in the same transaction, we disclose that relationship to both parties in writing, and each side is free to retain its own independent advisors, attorneys and accountants.

Who is business brokering for?

Short answer: It’s for owners planning to sell, retire, or step back, and for buyers who want to own an established business instead of starting from scratch. That includes first-time buyers, owners acquiring a competitor to grow, and partners buying out a co-owner. Deals can range from main-street businesses to larger, established companies.

How does business brokering work with NexGen?

Short answer: You start with a conversation about your goals. For sellers, we review the business and its financials and plan how to bring it to market. For buyers, we define what you’re looking for and what you can finance. From there we manage outreach, NDAs, diligence and negotiations, and coordinate closing with the other professionals involved.
  1. Talk with us. Call or apply online and tell us whether you’re buying or selling, and your timeline.
  2. Get organized. Sellers gather financials and records; buyers clarify budget, down payment and financing options.
  3. Go to market or start the search. We reach qualified buyers discreetly, or identify businesses that fit a buyer’s criteria.
  4. Protect confidentiality. Interested parties sign an NDA before receiving sensitive details.
  5. Diligence and negotiation. We coordinate document requests and help structure price, terms and financing.
  6. Close. We work with attorneys, accountants and lenders so the deal funds and ownership transfers.
What is seller financing? Seller financing is when the seller agrees to receive part of the purchase price over time, in installments from the buyer, instead of all at closing. It can bridge a gap between the price and what a lender will fund, and it shows the seller’s confidence in the business.

How does business brokering connect to funding?

Short answer: Most acquisitions need financing, and a deal is only as strong as the buyer’s ability to close. NexGen arranges acquisition capital up to $20M through 150+ private lenders, alongside SBA 7(a) loans, term loans and unitranche debt, and seller financing where it fits. Sellers benefit from buyers who are already prequalified.

Common acquisition structures combine a buyer’s down payment, a primary loan such as an SBA 7(a) loan or term loans & unitranche debt, and sometimes a seller note. Term loans and unitranche debt require a 650 minimum credit score, and SBA loans through NexGen require 700. Frequently asked questions about business brokering

How much does business brokering cost?

Fees depend on the deal and which side you’re on. Ask us how fees work for your situation before you commit to anything.

How do you keep a sale confidential?

We share identifying details and financials only with screened buyers who have signed a non-disclosure agreement, so the sale stays private until you’re ready.

Can you help me finance the business I want to buy?

Yes. NexGen arranges acquisition financing up to $20M through its lender network, including SBA 7(a) loans and term loans & unitranche debt.

How is my business valued?

Value usually depends on earnings, cash flow, industry, growth, assets and how transferable the business is. We’ll walk you through the factors and help set realistic expectations.

What documents should a seller prepare?

Expect to provide several years of tax returns and financial statements, a list of assets, key contracts and leases, and details on employees and operations.

Do I need an attorney and an accountant too?

Yes, we recommend both. We coordinate with your attorney and accountant, and NexGen also offers accounting support if you need it.
